1. Introduction
Welcome to the Affiliate Program Policy of Scalenut. This document serves as a comprehensive guide for individuals or entities interested in participating in our affiliate program. By joining our program, affiliates agree to adhere to the terms and conditions outlined herein.
2. Definitions
Affiliate: An individual or entity approved to participate in the affiliate program.
Company: Scalenut, the entity offering the affiliate program.
Services: The products or services provided by the company.
3. Eligibility
To be eligible for our affiliate program, affiliates must meet specific criteria set by the company. Eligibility requirements, restrictions, and limitations will be clearly communicated during the application process. The company reserves the right to approve or reject affiliate applications at its discretion.
4. Rights and Obligations
Affiliate Rights: Affiliates are granted a non-exclusive right to access and use the company's services in accordance with the terms of the agreement.
Company Rights: The company retains the right to use the affiliate's name, trademarks, and logos for identification purposes during the term of the agreement.
Compliance: Affiliates must comply with all terms and conditions outlined in the agreement, including maintaining the confidentiality of any proprietary information accessed during the program.
5. Commission
In accordance with the guidelines outlined in the source provided, the Commission and Payments section of our Affiliate Program Policy is detailed below:
Commission Structure: Affiliates enrolled in our program will earn a commission based on the subscription fees paid by customers they refer. The commission rate will be communicated at the time of onboarding and can be changed from time to time with advance notice to the affiliates. Affiliates will continue to receive recurring commissions for the customer's lifetime. However, the commissions will stop immediately based on the terms outlined in this agreement under certain conditions.
Referral Cookie Life: A referral cookie will remain active for a period of 60 days. If a customer clicks on an affiliate link and completes a purchase within 60 days of the last click, the affiliate will receive credit for the referral. However, any purchases made after this 60-day window will not be credited to the affiliate.
Payment Threshold: Affiliates must reach a minimum commission balance of $50 to qualify for payment. Once this threshold is met, affiliates will receive their commissions via PayPal.
Self-Referrals: It is strictly prohibited for affiliates to refer themselves in order to receive discounts on their own purchases. The affiliate program is designed for affiliates to refer external customers, followers, or acquaintances to Scalenut’s services. Any attempts to self-refer for personal gain will result in immediate termination of the affiliate account and associated user privileges.
This Commission and Payments clause delineates the commission structure, referral cookie duration, payment threshold requirements, and the prohibition of self-referrals within our affiliate program, ensuring transparency and fairness for all participants.
6. Marketing Guidelines
Affiliates are required to adhere to specific marketing guidelines provided by the company. These guidelines may include restrictions on promotional methods, compliance with legal and ethical standards, and guidelines for representing the company's brand accurately and positively.
7. Termination
The termination clause in our Affiliate Program Policy outlines the conditions under which either party can end the agreement. This clause defines the process and implications of terminating the affiliate relationship.
7.1 Termination by Either Party: Either the Affiliate or the Company may immediately terminate this Affiliate Agreement at any time, with or without cause, by providing written notice to the other party. Written notice can be delivered via email or through any appropriate mechanism available in the Affiliate Dashboard.
7.2 Inactivity by the Affiliate: If there are no referrals (new users) brought in by the Affiliate for a continuous 6 months, the Company reserves the right to terminate the agreement on an immediate basis. The account can be reopened with the due discussion between the Affiliate and the Company.
7.3 Immediate Termination for Material Breach: This Affiliate Agreement will be terminated immediately without notice upon any material breach of the Terms and Conditions by the Affiliate. In case of such termination, The Company shall not be liable for any Commissions for any fraudulent sales or sales based on abuse.
7.4 Commission Payment Post-Termination: In the event of termination by either party in accordance with section 7.1, the Company shall not be liable to pay any further commissions to the Affiliate after the termination of the Affiliate Agreement.
7.5 Modification of Terms: The Company reserves the right to modify, add, or remove any terms and conditions of this agreement at any time. Affiliates will be required to comply with any revised version of the terms and conditions as prompted in the Affiliate Dashboard. If any modification is unacceptable to the Affiliate, the only option is to terminate the association with the Affiliate Program by closing the account.
8. Dispute Resolution
In the event of disputes between affiliates and the company, both parties agree to resolve issues through arbitration. By participating in the program, affiliates waive the right to class action/jury trial and agree to resolve disputes on an individual basis through arbitration.
9. Confidentiality
Affiliates are required to maintain the confidentiality of any proprietary information accessed during the term of the agreement. This includes but is not limited to customer data, business strategies, and any other confidential information shared by the company.
10. Amendments
Any amendments to this policy document will be communicated to affiliates via email or in the affiliate dashboard. Continued participation in the program after the amendments are made implies acceptance of the updated terms and conditions.
11. Governing Law
This agreement shall be governed by the laws of India. Any disputes arising from the affiliate program will be subject to the laws of the jurisdiction specified in the agreement.
